1. Acceptance of these Terms
These Terms of Use (“Terms”) govern your use of energesispharma.com (the “Site”), operated by Energesis Pharmaceuticals, Inc. (“Energesis,” “we,” “us” or “our”). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
2. Information only, not medical advice
The Site describes our science, research programs and company. It is for general information only. Nothing on the Site is medical advice, and it is not a substitute for advice from a qualified health care professional. Do not start, stop or change any treatment based on the Site. If you have questions about obesity, diabetes or any medical condition, talk to your doctor.
3. Our Regulation Crowdfunding campaign
Energesis has a campaign page on BioTech Funding Portal LLC (“BioTech Funding Portal”), a funding portal registered with the U.S. Securities and Exchange Commission and a member of FINRA. Links on the Site labeled “Visit our campaign on BioTech Funding Portal” take you to that page, which shows whether we are testing the waters, have filed an offering statement on Form C or have closed our offering. Any investment can be made only through BioTech Funding Portal and is governed by the portal’s terms and our offering materials there, not by these Terms. Energesis does not accept investments, payments, investment commitments or Expressions of Interest (EOIs) through the Site.
Before our offering statement on Form C is filed: We are “testing the waters” under Regulation Crowdfunding through BioTech Funding Portal. No money or other consideration is being solicited, and if sent in response, will not be accepted. No offer to buy the securities can be accepted and no part of the purchase price can be received until the offering statement is filed and only through an intermediary’s platform. An indication of interest involves no obligation or commitment of any kind.
After our offering statement on Form C is filed and while our offering is open: Any offer is made only through our Form C, available on BioTech Funding Portal and on the SEC’s EDGAR database, and investments can be made only through BioTech Funding Portal. Read the Form C, including its risk factors, before investing.
After our offering closes, unless we begin a new campaign on BioTech Funding Portal: Energesis is not offering securities through the Site or BioTech Funding Portal.
4. Investment risk and no advice
Investing in early-stage companies is speculative, involves a high degree of risk and may result in the loss of your entire investment.
Nothing on the Site is investment, legal or tax advice.
5. Preclinical programs and forward-looking statements
Energesis’ programs, including EGS-2632, are in preclinical development. They have been evaluated only in laboratory and animal models and have not been tested in humans. They are not approved by the U.S. Food and Drug Administration or any other regulatory authority, and preclinical results may not predict human safety or efficacy.
The Site contains forward-looking statements, such as statements about our research plans, development timelines, potential product benefits and future financing. Words such as “may,” “plan,” “expect,” “aim” and “potential” identify them. These statements are based on current expectations and are subject to risks and uncertainties that could cause actual results to differ materially. We have no obligation to update them, except as required by law, including any obligation to amend our offering statement on Form C.
6. Intellectual property
The Site and its content, including text, graphics, images, data figures, logos and the Energesis name, are owned by Energesis or its licensors and protected by copyright, trademark and other laws. You may view and print pages for your personal, non-commercial use. You may not copy, modify, distribute, republish or create derivative works from Site content without our written permission. Scientific publications linked from the Site belong to their publishers and authors.
7. Links to other websites
The Site links to websites we do not control, including BioTech Funding Portal, LinkedIn, PubMed and scientific journals. These links are provided for convenience. We are not responsible for the content, accuracy, privacy practices or availability of those websites, and a link does not mean we endorse them. Your use of another website is governed by its own terms.
8. Acceptable use
You agree not to:
- use the Site for any unlawful purpose or in violation of these Terms;
- try to gain unauthorized access to the Site, its servers or related systems;
- introduce viruses, malware or other harmful code;
- use bots, scrapers or other automated means to collect content from the Site without our permission; or
- interfere with the Site’s operation or other people’s use of it.
9. Information you send us
Please do not send confidential or proprietary information, including unpublished research, inventions or business proposals, through the Site’s contact form or by email. Anything you send through the Site is not treated as confidential, and we have no obligation to keep it confidential or to compensate you for it, unless we have signed a written confidentiality agreement with you. Personal information you send is handled under our Privacy Policy.
10. Disclaimers
The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components. Information on the Site may be out of date, and we may change or remove it at any time.
11. Limitation of liability
To the fullest extent permitted by law, Energesis and its directors, officers, employees, advisers and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising from or related to your use of, or inability to use, the Site. Some jurisdictions do not allow these limits, so they may not apply to you.
12. Indemnity
You agree to defend, indemnify and hold harmless Energesis and its directors, officers, employees and agents from any claims, losses and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or your misuse of the Site.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought only in the state or federal courts located in Suffolk County, Massachusetts, and you consent to their jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and change the effective date above. Your continued use of the Site after a change means you accept the updated Terms. If any part of these Terms is found unenforceable, the rest remains in effect.
